Terms of Service

The rules for using Millicent, the AI community member for Discord, and this website.

1. Acceptance

These Terms are an agreement between you and LIKE A KING INC., a New York corporation ("we", "us"), which operates Millicent and heymillicent.com (the "Service"). By creating an account, adding Millicent to a Discord server, buying a licence or using the website, you agree to these Terms.

If you use the Service for a company, community or other organisation, you confirm you have authority to bind it, and "you" includes that organisation.

2. Licence to use the Service

We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your own communities while you follow these Terms and, for paid plans, keep your subscription or licence in good standing.

Source licences (Basic and Pro) let you run a copy of Millicent on your own infrastructure for the communities named in your licence. You may modify it for your own use. You may not resell, sublicense, publish or redistribute the source code or a modified copy. No ownership of the software transfers to you.

3. Eligibility

You must be at least 13 years old to use the website and at least 18 years old (or the age of majority where you live) to buy a plan or licence or to administer a server that runs Millicent.

You may not use the Service if you are in, or acting for someone in, a country or region under comprehensive US sanctions, or if you are on a US government restricted-party list.

Server administrators who add Millicent are responsible for following Discord's Terms of Service and Community Guidelines, including Discord's age requirements, in their server.

4. Subscriptions, pricing and billing

Prices are in US dollars and shown before you pay. Payments are processed by Stripe. Taxes may be added where required.

Hosted plans ("Rent") renew automatically every month until you cancel. You can cancel at any time from your dashboard in a few clicks, as easily as you signed up. Cancellation stops the next renewal; you keep access until the end of the period you already paid for.

Source licences and setup services are one-time purchases. Source licences include updates for the period stated at purchase (12 months for Pro); after that the version you have keeps working.

Refunds are explained in our Refund Policy, which is part of these Terms. If we offer a free trial, we will tell you before it ends and when it converts to a paid plan.

We may change prices for future periods. We will give you at least 30 days' notice by email or in your dashboard before a price change applies to your subscription, and you can cancel before it does.

5. Your content

You keep all rights to the content you provide: personality settings, knowledge documents, server configuration and anything else you upload ("Your Content"). You grant us only the licence we need to host, process and display Your Content to run the Service for you.

Millicent stores short-term conversation context and long-term member memories for the servers where she runs, as described in our Privacy Policy. Server administrators can view, export and delete this data from the dashboard, and members can ask her to forget them.

We do not use Your Content or your members' messages to train AI models. If we ever want to, we will ask for your explicit opt-in first.

6. Recording other people

Millicent works with text in Discord. She does not record audio, video or voice calls, and she does not use face recognition or other biometric identification.

If you connect future features that capture voice, calls or images, you are responsible for getting every consent the law requires, including all-party consent where it applies (for example California, Florida, Illinois, Maryland, Massachusetts, Montana, New Hampshire, Pennsylvania and Washington) and biometric laws such as Illinois BIPA and the Texas and Washington biometric statutes. We will not enable such features without updating these Terms first.

7. Third-party services

The Service relies on third parties, including Discord, Stripe, our hosting providers and AI model providers (for example OpenRouter, OpenAI, Anthropic or Google, or the provider you choose when you bring your own key). Their own terms and policies apply to your use of them.

We are not responsible for third-party services, their availability or their changes. If you bring your own AI provider key, your use of that provider is between you and them, including its costs.

8. Acceptable use

You may not use the Service to break the law, to harass, threaten or discriminate against anyone, to spread malware or spam, or to violate Discord's Terms of Service or Community Guidelines.

Zero tolerance: no child sexual abuse material of any kind. We report it to the National Center for Missing & Exploited Children and to law enforcement.

No sexual content depicting real people without their consent, including AI-generated deepfakes (we follow the TAKE IT DOWN Act). No scraping the Service, no reverse engineering it except where the law allows, no attempts to bypass limits or security, and no using AI output to impersonate real people or mislead people about it being AI.

Millicent must not be configured or presented as a human. She always says she is an AI when asked, and you may not remove or hide that disclosure.

9. Our intellectual property

The Millicent name, characters, software, personality engine, designs, website and documentation belong to us and are protected by copyright, trademark and other laws. These Terms do not give you any right to use our brand except as needed to say your community uses Millicent.

If you send us feedback or ideas, we may use them without obligation to you.

To report content you believe infringes your copyright, send a notice through our contact form at heymillicent.com/contact with the details required by the DMCA (17 U.S.C. 512).

10. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, to the extent the law allows.

Millicent is an AI. Her replies can be wrong, incomplete or out of date. She answers support questions only from the documents you give her, but you are responsible for checking important information.

Millicent is not a therapist, doctor, lawyer, financial adviser or crisis service, and she is not a companion product. If someone in your community is in crisis in the US, they can call or text 988 (Suicide & Crisis Lifeline); elsewhere they should contact local emergency services. Millicent is designed to point people to human staff and to these resources rather than handle crises herself.

The Service is not certified for life-safety, emergency or other critical uses.

11. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill.

Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim or US$100.

12. Indemnification

You agree to defend and indemnify us against claims, losses and costs (including reasonable legal fees) arising from Your Content, your community, your configuration of Millicent or your breach of these Terms or the law.

13. Termination

You can stop using the Service at any time: cancel your plan, remove Millicent from your server and delete your data from the dashboard.

We may suspend or end your access if you break these Terms, if required by law, or to protect members, Discord or the Service. Where reasonable, we will tell you first and give you a chance to fix the problem.

When a hosted plan ends, you have 7 days to export your data. We delete server data within 30 days after cancellation, except where the law requires us to keep it. Sections 5, 8 to 12 and 15 to 17 survive termination.

14. App store terms

Millicent is not distributed through the Apple App Store or Google Play. If we ever release an app there, we will add the store-required terms here before release.

15. Governing law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules, except where your local consumer protection laws give you rights that cannot be waived.

16. Dispute resolution and arbitration

Please contact us first; most issues can be solved quickly. If we cannot resolve a dispute informally within 30 days, it will be settled by binding individual arbitration administered by the American Arbitration Association under its Consumer or Commercial Rules, as applicable.

You and we each waive the right to a jury trial and to take part in a class action or class arbitration. Either of us may bring an individual claim in small claims court instead.

You can opt out of this arbitration agreement within 30 days of first accepting these Terms by telling us through our contact form at heymillicent.com/contact.

17. State-specific notices

California: California residents have rights under the CCPA/CPRA described in our Privacy Policy. Under California's automatic renewal law, we disclose renewal terms before purchase, confirm them after purchase and let you cancel online. The California Department of Consumer Affairs Complaint Assistance Unit can be reached at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or (800) 952-5210.

New York: renewal and cancellation terms are disclosed clearly before purchase, and cancellation is available online.

Residents of Virginia, Colorado, Connecticut, Utah, Texas, Oregon and other states with consumer privacy laws have the rights described in our Privacy Policy. Millicent does not collect biometric identifiers, so Illinois BIPA obligations do not arise from the current Service.

18. Changes and contact

We may update these Terms. For material changes we will notify you by email or in your dashboard at least 14 days before they take effect. The date at the top shows the latest version.

Questions about these Terms: our contact form at heymillicent.com/contact.

These documents are provided for transparency and may be updated. They are not legal advice.
